Zoom live online stream from the warehouse showing all the Commodity to the Buyer 5. Buyer chooses one of following options to proceed: 5A. Buyer pays mutually agreed (%) partial cost of total product value as non-performance surety contract bond to Seller via MT103/TT or via cryptocurrency. -OR 5B. Each Party put mutually agreed (%) partial cost of total product value as non-performance surety contract bond to Escrow Agent via MT103/TT or via cryptocurrency. Escrow Agent details are in Annex D «ESCROW AGENT’S LEGAL & BANKING INFORMATION» of Soft Corporate Offer. -OR 5C. Buyer conducts Quality and Quantity conformity assessment on the Commodity in the warehouse via SGS Azerbaijan (hereinafter «SGS AZ»). Buyer fills out «New Customer Application Form» from SGS AZ, receives invoice for inspection in the warehouse directly from SGS AZ, pays directly to SGS AZ, receives fresh «Certificate of Quality» directly from SGS AZ on Buyer’s name and performs step «5A» or «5B» of this Annex A «STANDARD OPERATING PROCEDURE». 6. Seller delivers the Commodity to Georgian port (Poti / Batumi / Kulevi) and loads the Ship. Buyer can re-route the Ship to any location or port at his discretion and if necessary. Seller shares following documents on Buyer name as «Consignee»: a. Unconditional Quality and Quantity assessment authorisation (UDTA) for Buyer’s inspection team to conduct on the Ship b. Unconditional authorisation to board the Vessel (ATB) for Buyer’s inspection team c. Bill of Lading d. Cargo Manifest e. Notice of Arrival f. Certificate of Origin g. Master of the Vessel’s (Captain) satellite phone number and other contact information h. ATSC 7. Optionally - Buyer conducts Quality and Quantity conformity assessment on the Commodity on the Ship. 8. Buyer receives invoice to deposit the sum of remaining total product value for Tanker Ownership Title Deed. 9. Seller transfers full control over the Vessel to Buyer and issues following documents: a. Tanker Ownership Title Deed (transfer letter) b. Documents for pre-arrival and arrival port and customs clearance 10. Buyer’s company replace Seller’s company in a new charter-party agreement with the shipping company.
